D.C. Code tit. 42 § 42-3404.13
Notice to convert; offer to sell.
Operative Text
(a) Every tenant of a housing accommodation which the declarant seeks to convert from a rental basis to a cooperative shall be notified in writing of the declarant’s intent to convert the housing accommodation to a cooperative not less than 120 days before the conversion thereof. The declarant shall also make to each tenant of the housing accommodation a bona fide offer to sell such tenant such shares or membership interest in the cooperative as will enable the tenant to continue to reside in his or her unit after conversion. The offer shall include, but not be limited to, the asking price for the shares or membership interest and a statement of the tenant’s rights to provide such shares or membership interest under the provisions of this section. The tenant shall be afforded not less than 60 days in which to contract with the landlord for the purchase of the shares or membership interest at a mutually agreeable price and under mutually agreeable terms, which shall be at least as favorable as those offered to the general public. (b) Repealed.
Under D.C. Code § 42-3401.01 et seq. § 42-3404.13, when a property owner (declarant) plans to convert a rental housing accommodation into a cooperative, each tenant must receive written notice of that intent at least 120 days before the conversion takes place. Beyond notice, the declarant is required to make a genuine offer to sell each tenant the shares or membership interest that would allow them to remain in their unit after conversion. Tenants are then given a window of at least 60 days to negotiate and contract for a purchase at terms no less favorable than those offered to the general public.

Operators planning a cooperative conversion covered by D.C. Code § 42-3401.01 et seq. § 42-3404.13 generally ensure that written conversion notices go out to every tenant no fewer than 120 days before the conversion date. A compliant declarant also prepares a bona fide offer to sell each tenant the appropriate shares or membership interest, including the asking price and a clear statement of the tenant's purchase rights. The offer period must remain open for at least 60 days, and any terms extended to the general public must be made equally available to tenants.

D.C. Code § 42-3401.01 et seq. § 42-3404.13 gives tenants in a building being converted to a cooperative the right to receive written notice at least 120 days before conversion and a genuine offer to purchase the shares or membership interest tied to their unit. Tenants have at least 60 days to negotiate a purchase contract, and the terms offered cannot be less favorable than those available to outside buyers. Tenants who believe these rights have not been honored may consider contacting the D.C. Office of the Tenant Advocate or a local tenant-rights organization to understand available options.
